Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NET30 (“the App”, “we”, “us”), a Shopify application operated from the United Kingdom. By installing NET30 from the Shopify App Store, you (“Merchant”, “you”) agree to be bound by these Terms.

If you do not agree to these Terms, do not install or use the App.

NET30 enables Shopify merchants to offer net payment terms (Net 15, Net 30, Net 60) to B2B customers directly inside Shopify admin. Core functionality includes:

• Approving customers for net terms with configurable credit limits
• Automatic invoice generation linked to Shopify orders and draft orders
• Automated payment reminder emails sent on your behalf to your customers
• PDF account statement generation and delivery
• Payment tracking, allocation, and bulk invoice management
• Customer credit grading (A–F) based on payment history

You must have an active Shopify store and a valid Shopify account to use NET30. By accepting these Terms, you represent that you are authorised to bind yourself or your business to this agreement, and that your use of the App complies with all applicable laws and regulations.

As a merchant using NET30, you agree to:

• Use the App only for lawful business purposes
• Ensure you have the legal right and appropriate consent to share your customers' personal data with us for processing
• Ensure that payment reminder emails sent on your behalf comply with applicable email marketing and communications laws in your jurisdiction
• Maintain the accuracy of customer records, invoice data, and payment information entered into the App
• Not attempt to reverse engineer, copy, resell, or otherwise exploit the App
• Not use the App in any way that could damage, disable, or impair its functionality

NET30 is built on the Shopify platform. Your use of NET30 is also subject to Shopify’s Terms of Service and Privacy Policy. In the event of a conflict between these Terms and Shopify’s terms, Shopify’s terms shall take precedence with respect to the Shopify platform.

NET30 is currently free to install. We reserve the right to introduce paid plans in the future. We will provide reasonable advance notice of any pricing changes via the email address associated with your Shopify account, or through an in-app notification.

Any paid subscription will be billed through Shopify’s billing system in accordance with Shopify’s billing terms. You may cancel your subscription at any time by uninstalling the App.

Our collection and use of personal data in connection with the App is described in our Privacy Policy, which is incorporated into these Terms by reference. By using NET30 you agree to our Privacy Policy.

You remain the data controller for your customers’ personal data. We process that data solely on your instructions and as described in the Privacy Policy.

All intellectual property rights in NET30 — including the software, design, branding, and documentation — are owned by or licensed to us. These Terms do not grant you any rights to our intellectual property other than a limited, non-exclusive, non-transferable licence to use the App for its intended purpose during the period your installation is active.

You retain all rights to the data you input into the App (invoice records, customer data, payment records).

NET30 is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or that any defects will be corrected. You use the App at your own risk.

To the maximum extent permitted by applicable law, NET30 and its operators shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from missed or late payments by your customers
• Damages arising from your reliance on invoice data, credit grades, or payment records generated by the App

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the total fees paid by you to us in the 12 months preceding the claim, or £100 (whichever is greater).

You agree to indemnify and hold harmless NET30 and its operators from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any claim by your customers or third parties arising from the emails or documents sent on your behalf via the App.

You may terminate your use of NET30 at any time by uninstalling the App from your Shopify store.

We reserve the right to suspend or terminate your access to the App at any time if we reasonably believe you have violated these Terms, are using the App for unlawful purposes, or if required to do so by law.

Upon termination, we will delete your data in accordance with our Privacy Policy. Sections 8, 9, 10, 11, and 13 survive termination.

These Terms are governed by the laws of England and Wales. Any disputes arising out of or relating to these Terms or your use of NET30 shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or in-app notification. Continued use of NET30 after changes are posted constitutes your acceptance of the updated Terms.
